2YELLOW AFFILIATE PROGRAM – TERMS & CONDITIONS

1. Introduction and Agreement By submitting your application and clicking “Agree”, you enter into a legally binding agreement with 2Yellow (Pty) Ltd in terms of the Electronic Communications and Transactions Act (ECTA). You agree to be bound by these Terms & Conditions.
2. Independent Contractor Status You are an independent contractor and not an employee. You are solely responsible for your own tax obligations with SARS (including income tax, VAT, UIF, and PAYE). 2Yellow will not deduct any taxes. We reserve the right to issue IT3(a) certificates where required by law.
Please note: Affiliates earning above R95 750 per year are required to register as provisional taxpayers with SARS and must submit provisional tax returns with payments in two instalments per tax year. It is your responsibility to determine whether this applies to you and to comply accordingly.
3. Commission Structure You earn a flat 3% commission on net sales (after refunds, chargebacks, or cancellations) generated through your unique referral link. Commissions are calculated on the final paid amount excluding VAT unless you are VAT-registered and supply a valid tax invoice.
3.1 Commission Qualification Commission is only payable on completed and fulfilled orders. Where applicable, this includes successful delivery and acceptance of goods by the customer.
4. Payment Terms
- Commissions are paid monthly via EFT, 7–10 days after the end of the month, subject to verification, compliance checks, and fulfilment of qualifying orders.
- Minimum payout threshold: R500.
- If you are VAT-registered, a valid tax invoice must be submitted before payment.
- Commissions are reversed for refunds, cancellations, chargebacks, or fraudulent transactions.
- 2Yellow reserves the right to withhold payment until all compliance documents are received.
4.5 Backorders & Delayed Fulfilment Where a customer order is placed and paid for but the product is on backorder, delayed, or subject to extended lead times, any associated affiliate commission will be recorded as pending until the order has been fully delivered to the customer.
Commission is only earned on completed sales, defined as orders that have been successfully delivered and not refunded or cancelled.
2Yellow reserves the right to withhold or delay commission payments on any order that has not been fulfilled, including where delays arise due to supplier constraints, stock shortages, or logistical factors.
4.6 Cooling-Off & Cancellations (CPA Compliance) Commission shall not be payable during any applicable cooling-off period as defined under the Consumer Protection Act. Commission will only be approved once the cooling-off period has lapsed and the order remains valid and fulfilled.
Any orders cancelled, refunded, or reversed for any reason will result in the associated commission being cancelled.
4.7 Transaction Review & Fraud Prevention 2Yellow reserves the right to review, investigate, and validate any transaction for suspected fraud, abuse, irregular activity, or breach of these terms.
Commission payments may be withheld during any investigation and may be declined if any breach is identified.
4.8 Tracking & Attribution While 2Yellow makes use of tracking systems to attribute sales to affiliates, we do not guarantee uninterrupted or error-free tracking.
2Yellow shall not be held liable for any untracked, misattributed, or lost referrals due to technical issues, customer behaviour, or system limitations.
5. POPIA Consent (Protection of Personal Information) We collect your personal information (name, WhatsApp number, banking details, ID, tax number, etc.) solely to manage the affiliate program and process payments. Your data is stored securely and retained only as long as necessary for legal and tax purposes.
You have the right to access, correct, or delete your information. Contact: jacques@2yellow.co.za for any POPIA requests. A data breach will be reported as required by law.
5.1 Communication Consent By participating in the affiliate program, you consent to receiving communication from 2Yellow via email or other electronic means relating to your account, commissions, and program updates. You may opt out of non-operational communications at any time by contacting jacques@2yellow.co.za.
6. Cookie & Tracking Consent We use cookies with a 60-day duration and unique referral links for attribution (last-click model). By participating, you consent to this tracking in accordance with POPIA and ECTA.
7. Marketing Rules & Consumer Protection Act (CPA) You must comply with the Consumer Protection Act. You may not:
- Use spam, misleading claims, false urgency, or deceptive advertising
- Bid on “2Yellow”, “2yellow.co.za”, or similar brand keywords in paid ads
- Register domain names or social handles that cause confusion
- Engage in any illegal or offensive marketing
All promotions must clearly disclose the affiliate relationship (#Ad / #Affiliate).
7.1 Self-Referral & Abuse Affiliates may not earn commission on their own purchases or on purchases made by related parties, employees, or associated persons for the purpose of generating commission.
Any abuse of the affiliate program will result in immediate suspension and forfeiture of any unpaid commissions.
8. Intellectual Property All logos, branding, images, and content remain the exclusive property of 2Yellow. You may only use approved materials exactly as provided.
9. Limitation of Liability & Indemnity 2Yellow shall not be liable for any indirect, consequential, or incidental damages arising from the program. You indemnify and hold 2Yellow harmless against any claims, losses, or legal costs arising from your marketing activities.
10. FICA & Compliance Documents Before any payout, we may require:
- Copy of ID / Passport
- Bank confirmation letter
- Tax number / VAT certificate / Company registration (if applicable)
11. Termination & Suspension 2Yellow may suspend or terminate your account immediately for breach of these terms, fraud, or any violation of law.
11.1 Dormant Accounts 2Yellow reserves the right to suspend or terminate affiliate accounts that remain inactive for a period exceeding 6 (six) consecutive months.
12. Right to Modify Terms We reserve the right to change commission rates, terms, or the program at any time. Notice will be given via email or your affiliate dashboard.
13. Dispute Resolution Any disputes must be submitted in writing within 30 days and will first be resolved in good faith before legal action.
14. No Guarantee of Income We do not guarantee any level of earnings or traffic.
15. General
- This agreement is non-exclusive.
- Force majeure applies (including load shedding, system downtime, etc.).
- These terms are governed by the laws of South Africa.
